Terms and Conditions

These Terms and Conditions (“Terms”) constitute a binding agreement between the Merchant (“you”, “your”) and Red  Dragon FZ-LLC (“Red Dragon”, “we”, “us”, or “our”), a company incorporated under the laws of the United Arab Emirates and operating in the field of electronic payment services. 

By entering into a merchant agreement, registering an account, or using any Red Dragon services, you acknowledge that you have read, understood, and agree to comply with the following terms.

1. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

  • “Merchant” refers to any individual, company, sole proprietorship, or other legal entity that enters into a Merchant Agreement with Red Dragon to use its services.

  • “Customer” refers to an individual or entity who initiates a payment to the Merchant using Red Dragon’s payment infrastructure.

  • “Red Dragon” refers to Red Dragon FZ-LLC, a company incorporated in the United Arab Emirates and a provider of payment technology services.

  • “Services” means the suite of payment processing tools, infrastructure, devices, and related offerings provided by Red Dragon, including but not limited to card terminals, payment gateways, QR code and payment link services, reporting systems, and customer support.

  • “Transaction” means any payment, authorisation, refund, reversal, or settlement processed through Red Dragon’s platforms or hardware on behalf of a Merchant.

  • “Settlement” refers to the process by which the Acquiring Bank transfers funds from processed Transactions to the Merchant’s designated bank account. Red Dragon does not operate within the settlement process, and does not hold or recieve Merchant funds.

  • “Terminal” or “Card Terminal” refers to the physical point-of-sale (POS) device provided or supported by Red Dragon for in-person card payment acceptance.

  • “Gateway” means the Red Dragon online infrastructure used to accept payments on websites, mobile apps, or through APIs.

  • “QR Code” refers to a scannable code generated by Red Dragon’s system that facilitates payment via a customer’s mobile device.

  • “Payment Link” means a URL or web-based interface provided to a Merchant to collect payments from customers remotely.

  • “Chargeback” refers to a dispute initiated by a customer or card issuer resulting in a reversal of a previously settled Transaction.

  • “Refund” means a partial or full return of funds to a Customer, initiated by the Merchant and processed through Red Dragon’s systems.

  • “Merchant Agreement” means the contractual agreement entered into between Red Dragon and the Merchant outlining commercial terms, service fees, obligations, and specific product usage rights.

  • “Acquirer” or “Acquiring Bank” refers to the financial institution that partners with Red Dragon to facilitate card payment acceptance for the Merchant.

  • “Card Schemes” means Visa, Mastercard, and other applicable domestic or international payment networks governing card-based Transactions.

  • “KYC” (Know Your Customer) refers to the process by which Red Dragon verifies the identity of Merchants in accordance with anti-money laundering (AML) regulations.

  • “AML” (Anti-Money Laundering) refers to compliance measures and internal controls designed to prevent the use of Red Dragon’s Services for money laundering, terrorist financing, or other illicit activity.

  • “Dashboard” means the web-based portal or mobile interface provided by Red Dragon to the Merchant for managing account activity, generating reports, viewing settlements, and accessing customer support.

  • “Force Majeure” refers to events beyond the reasonable control of either party, including natural disasters, war, cyberattacks, or regulatory interventions, which may delay or prevent performance of obligations.

  • “UAE Law” refers to the applicable federal laws and regulations of the United Arab Emirates, including financial services and data protection regulations issued by the Central Bank and other authorities

2. Scope of Services
Red Dragon provides Merchants with a range of payment technologies and related services, including but not limited to physical card terminals for in-person payment acceptance, secure online payment gateways integrated into websites and mobile applications, QR code generation and dynamic payment links, real-time transaction monitoring tools, merchant dashboards for reconciliation and reporting, and customer support services. All services are provided subject to ongoing regulatory compliance, technical compatibility with the Merchant’s systems, and successful completion of onboarding procedures in accordance with UAE law.

3. Account Creation and Merchant Approval
To access Red Dragon services, a Merchant is required to submit an application and provide all documentation necessary to complete identity verification, business validation, and financial due diligence as per the requirements of the Central Bank of the United Arab Emirates and other applicable authorities. Red Dragon shall assess the application and, at its discretion, submit the application to it's Acquiring Bank partner or reject the account without obligation to disclose the reason. Once approved by the Acquirer, a Merchant ID is issued and account opened. The Merchant warrants that all information provided during the application and onboarding process is complete, accurate, and not misleading.

4. Fees, Rates, and Pricing Terms
Red Dragon applies transaction-based fees and may impose additional charges depending on the services selected by the Merchant. The applicable rates shall be determined based on factors including, but not limited to, the Merchant’s business category, average transaction volume, contractual duration, risk classification, use of hardware or software, and geographic region of operation. The agreed pricing and any applicable recurring or incidental fees will be documented in the Merchant Agreement. Red Dragon may, subject to the terms of that agreement, revise or amend applicable fees by providing advance notice in writing.

5. Settlement Process and Timelines
Red Dragon is not involved in the settlement process, and the Merchant receives the Settlement directly from the UAE Central Bank licensed Acquiring Bank. The settlement time for funds to credit your bank account is twenty-four (24) hours of processing, excluding weekends and UAE public holidays. The actual time of receipt may be subject to delays caused by the Merchant’s acquiring bank, intermediary banking systems, regulatory reviews, or internal risk mitigation measures. Settlement reports and reconciliation data will be made available to the Merchant through the Red Dragon dashboard or via other agreed-upon means.

6. Refunds, Chargebacks, and Dispute Management
The Merchant is solely responsible for managing all customer refund requests and for bearing the financial impact of any Chargebacks. Red Dragon shall notify the Merchant of any Chargeback initiated by a cardholder and may, at its discretion, assist in the collection of documentation required to contest the Chargeback. If the Chargeback is upheld, Red Dragon reserves the right to deduct the disputed amount, along with any administrative or processing fees, from the Merchant’s upcoming settlements or to issue an invoice payable upon demand. Red Dragon further reserves the right to impose additional monitoring or risk control measures if the Merchant incurs a Chargeback rate deemed excessive by regulatory, scheme, or internal standards.

7. Fraud, Suspicious Activity, and Anti-Money Laundering Compliance
Red Dragon applies risk detection, transaction screening, identity verification, and compliance protocols in accordance with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) laws. The Merchant agrees to cooperate fully with any requests for information or documentation made by Red Dragon or its financial or regulatory partners. In cases where Red Dragon detects, suspects, or is made aware of fraudulent behaviour, suspicious transaction patterns, or AML/CTF violations, it may take immediate action, including suspending service access, withholding settlements, reporting to authorities, or terminating the Merchant Agreement without prior notice.

8. Use of Terminals, Software, and Technical Infrastructure
Any card terminals, APIs, dashboards, or software tools provided by Red Dragon remain the property of Red Dragon unless explicitly sold to the Merchant under a separate agreement. The Merchant may not modify, interfere with, sublicense, lease, or resell any Red Dragon device or software without prior written consent. The Merchant shall ensure that all devices and software are used in accordance with manufacturer instructions and shall remain liable for any loss, damage, or misuse.

9. Prohibited Use and Restricted Activities
The Merchant may not use Red Dragon’s services to accept payments for products or services that are illegal, unethical, or violate the terms of applicable card schemes or UAE law. This includes, without limitation, adult content, gambling, weapons, pharmaceuticals, pyramid schemes, or businesses that are listed under prohibited merchant categories. Engaging in prohibited activity may lead to immediate termination of services and the initiation of legal or regulatory action.

10. Termination and Suspension of Services
Red Dragon may suspend or terminate the Merchant’s access to services with immediate effect if the Merchant breaches these Terms, violates the Merchant Agreement, engages in high-risk or non-compliant activity, fails to respond to risk or compliance-related requests, or if regulatory authorities require suspension. Termination shall not relieve the Merchant of obligations incurred prior to the date of termination, including settlement of fees, refund liabilities, and outstanding invoices. The Merchant may also terminate the agreement by providing written notice in accordance with the terms of their individual Merchant Agreement.

11. Limitation of Liability
To the fullest extent permitted by law, Red Dragon shall not be liable for any loss of profits, revenue, business opportunity, goodwill, or indirect, special, or consequential damages arising from the use or inability to use its services. Red Dragon’s total cumulative liability for any claim shall be limited to the aggregate amount of fees paid by the Merchant to Red Dragon in the three (3) months preceding the event giving rise to the claim.

12. Force Majeure
Neither Red Dragon nor the Merchant shall be liable for any failure or delay in the performance of obligations under these Terms due to causes beyond their reasonable control, including but not limited to acts of God, acts of government, natural disasters, cyberattacks, operational disruption of third-party providers, or actions by regulatory authorities. Each party shall notify the other promptly upon the occurrence of any such event.

13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. The parties agree to submit to the exclusive jurisdiction of the courts of the UAE for the resolution of any dispute or claim arising out of or in connection with these Terms or the Merchant Agreement.

14. Modifications to Terms
Red Dragon may revise these Terms from time to time in order to reflect changes in regulatory requirements, business operations, or market practices. Revised Terms shall be published on the Red Dragon website or otherwise communicated to the Merchant. Continued use of Red Dragon services following such communication constitutes acceptance of the amended Terms.

15. Notices and Communication
Any legal or contractual notice under these Terms shall be deemed given when delivered to the Merchant’s registered email address or to Red Dragon’s designated legal contact, as provided on the company’s official website. It is the Merchant’s responsibility to ensure contact information remains accurate and current.
